01 Agreement

These Terms of Use ("Terms") are an agreement between you and Null Labs Limited (RC 9592210), which operates NullBot ("NullBot", "we", "us"). They cover the NullBot Telegram bot, the web dashboard at app.nullbot.io, this website, and any related service (together, the "Service").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

02 The Service

NullBot is a toolkit for minting NFTs and managing wallets on EVM chains. It includes:

  • Schedule Mint, Copy Mint and Mint Contract
  • Disperse, Consolidate and Sweep
  • OpenSea marketplace actions
  • collection and wallet tracking
  • market signals.

The Telegram bot and the dashboard can be linked into one account that shares the same wallets, plan, jobs and history.

We may add, change, pause or remove features, supported chains or integrations at any time.

03 Eligibility

You must be at least 18 years old and legally able to use crypto-asset services where you live. You may not use the Service if you, or anyone you act for, are subject to sanctions, located in a sanctioned territory, or barred from the Service by applicable law.

04 Your Account

You sign in to the dashboard with Google or X, and you can link your Telegram account. Keep your sign-in methods secure; you are responsible for everything done through your account. One account per person; don't share, sell or transfer accounts.

Tell us straight away if you believe your account has been accessed without your permission.

05 Wallets and Private Keys

The Service can create wallets for you, or hold the private keys of wallets you import. Keys are encrypted at rest and used only to sign transactions you set up. You can export them at any time from Wallets.

  • Use dedicated mint (burner) wallets only. Never import a main wallet, a vault or a cold-storage key.
  • Keep only what you need for upcoming activity in these wallets.
  • Back up every key you rely on. We cannot recover keys for a deleted account.
  • NullBot never asks for a seed phrase. Never share one with anyone claiming to be us.

06 Transactions and Automation

When you create a job or change a setting, you authorise NullBot to sign and send transactions from your wallets under that configuration, including automatically and without further confirmation. For example:

  • a Schedule Mint fires when its phase opens
  • a Copy Mint mirror mints when a wallet you follow mints
  • Disperse, Consolidate and Sweep move assets where you direct them.

Blockchain transactions are public and irreversible. You are solely responsible for them and their results, including:

  • failed or reverted transactions
  • gas fees
  • missed phases and sold-out drops
  • price, supply or contract behaviour
  • any loss that results.

We cannot cancel, reverse, refund or compensate for any on-chain transaction.

Speed from our private node infrastructure improves your odds; it never guarantees a mint, an allocation or any outcome.

07 Third-Party Services

The Service relies on blockchains, RPC providers, marketplaces such as OpenSea, sign-in providers, Telegram and other services we don't control. Their availability, rules, fees and changes can affect the Service and your results. We are not responsible for them. Your use of them through NullBot must follow their terms.

08 Plans, Payments and Refunds

  • Paid plans, their prices and their limits are listed on the pricing page. Features and limits may differ between plans.
  • Payments are made in USDC on Base, or USDG on Robinhood Chain, to the personal deposit address shown in your account. A plan activates automatically once the payment confirms on-chain.
  • Plans are prepaid for a fixed period and do not renew automatically. When a period ends, your account returns to Free unless you pay again.
  • A payment below the plan price is held as credit on your account and counted toward your next payment.
  • When upgrading, you can start a fresh period on the new plan, or keep your current end date by paying the monthly price difference.
  • Payments are non-refundable once a plan activates. That includes failed mints, missed drops, downtime, gas losses and accidental purchases. If you believe you were charged in error, contact us with proof of payment.
  • We may change prices, plans and limits. Changes apply from your next payment and never shorten a period you have already paid for.
  • You are responsible for any taxes that apply to your use of the Service.

09 Acceptable Use

You agree not to:

  • use the Service for anything unlawful, fraudulent or harmful, including money laundering, market manipulation or sanctions evasion
  • infringe anyone's rights, or break the terms of a platform you use through NullBot
  • attack, overload, probe or disrupt the Service, or try to gain access you are not entitled to
  • copy, reverse-engineer or resell the Service, or automate access to it outside the features we provide
  • get around plan limits, for example by sharing accounts or creating multiple accounts.

10 No Financial Advice

NullBot is a tool, not an advisor. Nothing in the Service, including market signals, alerts or collection data, is financial, investment, legal or tax advice. Crypto assets and NFTs are volatile and can lose all their value, and smart contracts can be faulty or malicious. Every decision to mint, buy, sell or hold is yours alone.

11 Availability and Disclaimer

The Service is provided "as is" and "as available", without warranties of any kind, express or implied. That includes warranties of merchantability, fitness for a particular purpose, accuracy and uninterrupted or error-free operation.

There is no uptime guarantee. Maintenance, outages on our side, and outages on chains or third-party services can affect results.

12 Limitation of Liability

To the fullest extent permitted by law, Null Labs Limited and its team are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, tokens, NFTs, data or opportunity, arising from your use of the Service.

Our total liability for any claim is limited to the amount you paid us in the 30 days before the event that gave rise to the claim.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited by law, or takes away any right you have as a consumer that the law says cannot be waived, including under the Federal Competition and Consumer Protection Act 2018.

13 Indemnity

You agree to indemnify and hold harmless Null Labs Limited and its team from any claim, loss or expense, including reasonable legal fees, that arises from your use of the Service, your breach of these Terms, or your violation of any law or third-party right.

14 Suspension and Termination

You may stop using the Service at any time; export your private keys first.

We may suspend or close your account, and cancel pending jobs, if you breach these Terms, if we are required to by law, or to protect users or the Service. Where we reasonably can, we will tell you first. Sections that by their nature should survive termination, such as disclaimers, limits of liability and indemnity, continue to apply.

15 Governing Law and Disputes

These Terms, and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes and claims), are governed by the laws of the Federal Republic of Nigeria.

If you have a dispute with us, email [email protected] first and describe the issue. We will try in good faith to resolve it within 30 days.

If it is not resolved, the courts of the Federal Republic of Nigeria have exclusive jurisdiction to decide it. Either party may still ask any competent court for urgent interim relief, for example to protect accounts, funds or intellectual property.

Nothing in this section removes any right you have to bring a complaint to the Federal Competition and Consumer Protection Commission or any other regulator.

16 Changes to These Terms

We may update these Terms from time to time. We will change the "Last updated" date, and tell you in the dashboard or the bot when a change is material. If you continue to use the Service after a change takes effect, you accept the updated Terms.
